Terms of Service
Last updated: September 10, 2026
1. Who We Are and What These Terms Cover
Welcome to Moxie. The website bringyourmoxie.com (the “Site”) and the coaching, consulting, programs, community, assessments, and related services offered through it (together, the “Services”) are operated by Moxie Project & Productivity Coaching, LLC, an Ohio limited liability company (“Moxie,” “we,” “us,” or “our”).
These Terms of Service (the “Terms”) are a legal agreement between you and Moxie. By visiting the Site, creating an account, joining our community, booking a session, purchasing a program, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site or Services.
If you have signed a separate written agreement with Moxie — such as an Independent Contractor Agreement, coaching agreement, or Statement of Work (a “Client Agreement”) — that agreement governs the specific services it describes. Where these Terms and a Client Agreement conflict, the Client Agreement controls for those services. These Terms still apply to your use of the Site, our online community, and any Services not covered by a Client Agreement.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business or organization, you represent that you have authority to bind that entity, and “you” includes the entity.
3. Our Services
Moxie provides project and productivity coaching, leadership development, business strategy, and related consulting for individuals and organizations. Our offerings may include, without limitation: one-on-one and group coaching; structured programs such as Built to Lead and Grow on Purpose; assessments such as the M8 assessment; working sessions and workshops; a private online community; downloadable resources, classes, and tools; and email or other digital content.
Program descriptions, schedules, inclusions, pricing, and availability are described on the Site or in the applicable checkout page, enrollment form, or Client Agreement. We may modify, pause, or discontinue any offering at any time. If we discontinue a paid program you have already purchased before delivering it, we will offer a comparable alternative or a prorated refund for the undelivered portion.
4. Coaching Is Not Professional Advice
Coaching and consulting are educational and developmental services. They are not therapy, counseling, medical care, legal advice, tax or accounting advice, or financial planning, and nothing on the Site or in the Services should be treated as a substitute for advice from a licensed professional in those fields. You are solely responsible for your decisions, actions, and results. If you are experiencing a mental health, medical, or legal crisis, please contact the appropriate professional or emergency services.
We are committed to your growth, but we cannot and do not guarantee any specific outcome — including revenue, productivity gains, promotions, business results, or personal results. Testimonials and case studies on the Site reflect individual experiences and are not promises of what you will achieve.
5. Accounts and Community Access
Some Services — including our private online community (currently hosted on Circle) and program portals — require an account. You agree to provide accurate information, keep your login credentials confidential, and notify us promptly of any unauthorized use. You are responsible for all activity under your account. Community and program access is personal to you and may not be shared, transferred, or resold. Access to a community or program tied to a paid offering ends when that offering ends or your enrollment is terminated, unless otherwise stated at purchase.
6. Community Guidelines
Our community exists so members can learn, share, and support one another. To keep it that way, you agree not to:
- Harass, threaten, demean, or discriminate against any member, facilitator, or guest.
- Post content that is unlawful, defamatory, obscene, hateful, or that infringes anyone’s rights.
- Share screenshots, recordings, or other members’ personal or business information outside the community without their permission. What is shared in the community stays in the community.
- Solicit, spam, or promote products or services to members except where we have expressly invited it.
- Record sessions, calls, or events without our permission.
- Impersonate any person, misrepresent your affiliation, or use another member’s account.
- Upload malware, scrape data, or interfere with the operation or security of the Site or any platform we use.
We may remove content, suspend, or remove any member who violates these guidelines or who, in our reasonable judgment, is disrupting the community, without refund. We do not pre-screen member content and are not responsible for it, but we may moderate it at our discretion.
7. Purchases, Payment, and Refunds
Prices are listed in U.S. dollars and exclude any applicable taxes unless stated otherwise. By making a purchase, you authorize us and our payment processor Stripe, to charge your selected payment method for the total shown at checkout, including any recurring or installment charges you agree to. If you select a payment plan, you are responsible for the full program price even if you stop participating; missed installments may result in suspension of access until payment is made.
Invoiced services are due within 15 days of the invoice date. Balances past due accrue a late fee of 1.0% per month on the outstanding amount. When an invoice is paid by credit card, we may pass through the applicable card processing fee. Expenses related to your engagement are reimbursable only when approved by you in advance.
Deposits are non-refundable. Because our programs, sessions, and digital products involve reserved time and immediate access to materials, all sales are final unless a specific refund policy is stated on the checkout page, enrollment form, or in your Client Agreement. Where a Client Agreement includes a minimum term, early termination fees described in that agreement apply. If you believe you have been charged in error, contact us at
[email protected] within 30 days and we will work with you to resolve it.
8. Scheduling, Rescheduling, and Cancellations
Sessions may be booked through the scheduling tools on the Site. To reschedule or cancel a session without losing it, please give us at least 48 hours’ notice. Sessions cancelled with less notice, or missed without notice, may be counted as delivered and are not refundable or rescheduled, except at our discretion. If we need to reschedule, we will offer you an alternative time at no additional cost. Unused session time or hours generally expire at the end of the engagement or program term unless otherwise stated in writing.
9. Intellectual Property
The Site and Services — including all text, graphics, logos, frameworks, methodologies, assessments (including the M8 assessment), templates, workbooks, videos, recordings, course materials, and the Moxie name and marks — are owned by Moxie or its licensors and are protected by copyright, trademark, and other laws. When you purchase a program or resource, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use those materials for your own personal or internal business purposes. You may not copy, resell, redistribute, publicly display, create derivative works from, or teach our materials to others without our prior written consent.
Work product created specifically for you under a Client Agreement is owned as described in that agreement. Unless the agreement says otherwise, Moxie retains the right to display such work in its portfolio, on the Site, and in its marketing materials, and retains ownership of its pre-existing tools, frameworks, and know-how, which are licensed to you as needed to use the deliverables.
10. Your Content and Feedback
You retain ownership of any content you submit through the Site, community, forms, or during sessions (“Your Content”). You grant Moxie a non-exclusive, royalty-free, worldwide license to use, store, display, and share Your Content as needed to operate the Services (for example, displaying your post to other community members). If you provide a testimonial, review, or feedback, you grant us permission to use it, along with your name and business name, in our marketing unless you tell us in writing that you prefer to remain anonymous. You represent that you own or have the rights to Your Content and that it does not violate any law or third-party rights.
11. Use of Artificial Intelligence
Moxie integrates artificial intelligence tools — including large language model platforms such as Claude (Anthropic) and ChatGPT (OpenAI) — into how we work. We use these tools to support strategy development, content creation, brand and business analysis, copywriting, research, and other deliverables. In the course of providing Services, we may input brand materials, business information, strategic context, and other non-financial, non-sensitive information you provide into these tools as reasonably necessary to deliver the agreed Services. We do not input your payment information or government identifiers into AI tools. You may ask us in writing to exclude specific materials from AI processing, and we will accommodate reasonable requests. All AI-assisted output is reviewed by a human before it is delivered to you.
12. Third-Party Platforms and Links
We rely on third-party platforms to deliver the Services, including community, scheduling, email, payment, video conferencing, and analytics providers. Your use of those platforms is also subject to their own terms and privacy policies. The Site may link to third-party websites or resources that we do not control; we provide those links for convenience and are not responsible for their content, products, or practices.
13. Communications
By providing your email address, you agree to receive transactional and service-related messages from us. If you opt in to our email list, we may also send newsletters, resources, and promotional messages; you can unsubscribe at any time using the link in any marketing email. Moxie, does not operate under a SMS platform and other than direct consent through exchanged numbers will you ever be contacted via text communication by Moxie or affiliated associates.
14. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MOXIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RESULTS WILL BE ACHIEVED THROUGH THE SERVICES.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOXIE, ITS MEMBERS, OWNERS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA) ARISING OUT OF OR RELATED TO THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MOXIE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR SERVICES WILL NOT EXCEED THE TOTAL FEES YOU PAID TO MOXIE FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID ANY FEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
16. Indemnification
You agree to defend, indemnify, and hold harmless Moxie and its members, owners, contractors, and affiliates from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your violation of these Terms, or your violation of any law or third-party right.
17. Termination
You may stop using the Site at any time. We may suspend or terminate your access to the Site, community, or any Service if you violate these Terms, engage in conduct that harms other members or Moxie, or fail to pay amounts owed. Termination of a paid engagement is governed by your Client Agreement or the terms stated at purchase. Sections that by their nature should survive termination (including intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, and governing law) will survive.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Ohio and applicable U.S. federal law, without regard to conflict-of-law principles. Before filing any claim, you agree to contact us at
[email protected] and make a good-faith effort to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Madison County, Ohio, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, each party waives any right to a jury trial and agrees that claims may be brought only on an individual basis, not as a class or representative action.
19. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, our Privacy Policy, and any applicable Client Agreement are the entire agreement between you and Moxie regarding the Services.
20. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised Terms on the Site and update the “Last updated” date. Material changes may also be communicated by email or a notice on the Site. Your continued use of the Site or Services after changes take effect means you accept the revised Terms.
